Welcome to Satoriia PRO — the professional, business-to-business (B2B) division of Satoriia, created for licensed stylists, salons, and authorized distributors who believe performance and honesty can coexist. These Terms and Conditions (“Terms”) govern your access to and use of our professional website at www.satoriia.pro, including all subdomains, social media, and communication platforms (collectively, the “Site”), and all professional purchases. By accessing or using this Site, you agree to these Terms and our Privacy Policy. If you do not agree, please refrain from using the Site.

1. Scope and Acceptance
These Terms govern your use of our Site, your professional account, wholesale purchases, and all interactions with Satoriia PRO. By accessing the Site or placing an order, you agree to these Terms and our Privacy Policy. These Terms constitute a binding legal agreement between you (acting on behalf of your business) and Satoriia LLC, a Florida limited liability company. If you accept these Terms on behalf of a salon, company, or other entity, you represent that you have authority to bind that entity.

2. Professional Eligibility
Satoriia PRO is intended exclusively for professional and business use by licensed stylists, cosmetologists, salon owners, and authorized distributors aged 18 or older. The Site and its wholesale pricing are not available to consumers for personal use.

By creating an account or placing an order, you represent and warrant that: (a) you are at least 18 years old; (b) you hold a valid professional license, certification, or distributor authorization where required to purchase or use professional cosmetic products in your jurisdiction; (c) all information you provide, including licensing or certification details, is accurate and current; and (d) you are purchasing for professional or business use and not for personal consumption or unauthorized resale.

We may, at our discretion, request documentation to verify your professional status and may decline, suspend, or terminate any account that does not meet, or no longer meets, these eligibility requirements. You remain solely responsible for ensuring you hold and maintain all licenses and certifications required by applicable law; approval of a professional account is not a representation by Satoriia that you are properly licensed.

3. Account Registration and Security
Creating a professional account gives you access to order history, wholesale pricing, and professional resources. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Notify care@satoriia.pro immediately if you suspect unauthorized use. We may suspend or terminate accounts to protect the integrity of our professional network, providing notice where possible.

4. Orders and Payment
Orders placed through the Site are offers to purchase our professional products. We confirm receipt and accept your order when payment is processed and the order is shipped.

We reserve the right to verify order details, correct errors (including pricing errors), set minimum order quantities, cancel orders that exceed available stock, and notify you of any changes before fulfillment.

All prices are in U.S. dollars unless otherwise noted. Applicable taxes and shipping or freight fees are displayed at checkout or invoiced separately for freight-based orders. Shipping and return terms are governed by our Shipments Policy.

5. Professional Pricing, Wholesale Terms, and Resale Restrictions
Professional and wholesale pricing is reserved exclusively for approved licensed stylists, salons, and authorized distributors. We may offer tiered, volume, or batch-order pricing as part of our professional agreements.

Wholesale pricing is confidential. Public advertisement, listing, or display of Satoriia PRO wholesale pricing is prohibited. Unauthorized resale, diversion, or distribution of professional products — including resale to end consumers or to third parties outside approved professional channels, and any sale on unauthorized online marketplaces — is strictly prohibited and may result in immediate account suspension or termination. Products are sold for professional application or authorized professional distribution only, and you are responsible for complying with all laws governing the resale, labeling, and professional use of cosmetic products in your jurisdiction.

6. Gift Cards
Satoriia PRO gift cards, where offered, are redeemable for products on our Site, with no fees and remain valid for five years from the date of issue. Gift cards are non-refundable and not redeemable for cash, except as required by applicable state law. Satoriia is not responsible for lost or stolen cards.

7. User Content
By posting content (e.g., photos, reviews, comments) on our Site or social channels, you grant Satoriia a worldwide, royalty-free, sublicensable, perpetual license to use, display, reproduce, and share your content for any business purpose, including marketing.

You represent that your content is original, that you own all rights to it, and that it does not infringe on any third-party rights. We may remove content that violates these Terms or our values without notice.

8. Intellectual Property
All Site content, including logos, designs, text, images, and product formulations, is the property of Satoriia LLC and protected by U.S. and international copyright, trademark, and trade secret laws. The Satoriia™ trademark is pending registration with the USPTO (Serial #99155048).

Do not copy, modify, distribute, or use our content without prior written permission from Satoriia LLC. Do not use the Site for unlawful, misleading, or disruptive purposes.

9. Product Information, Professional Use, Safety, and Disclaimer
Satoriia PRO products are cosmetics formulated for professional use and manufactured in compliance with FDA Good Manufacturing Practices (GMP) and the Modernization of Cosmetics Regulation Act of 2022 (MoCRA). They are intended to be applied by trained, licensed professionals in accordance with the applicable product instructions and protocols.

Patch Test Recommended: Before applying any Satoriia product to a client, we strongly recommend performing a patch test: apply a small amount to a discreet area of skin 24–48 hours beforehand. Discontinue use and advise the client to consult a healthcare provider if irritation, redness, or discomfort occurs. As a professional, you are responsible for following safe application practices and for any required client consultations or disclosures.

Not Medical Advice: No product description, ingredient information, or content on this Site constitutes medical advice or is intended to diagnose, treat, cure, or prevent any disease or medical condition. Satoriia products are cosmetics, not drugs.

Natural ingredient variations may affect color, texture, or scent between batches. These variations do not affect product safety or performance.

Except as expressly stated in these Terms or required by applicable law, products and Site content are provided “as is,” without warranties of any kind, and Satoriia disclaims all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law. If you encounter a product issue, contact us within 30 days of delivery per our Shipments Policy.

10. Privacy, Cookies, and Data Sharing
Your data is handled in accordance with our Privacy Policy, including compliance with the California Consumer Privacy Act / California Privacy Rights Act (CCPA/CPRA), EU/UK GDPR, and the Florida Information Protection Act (FIPA).

11. Limitation of Liability and Indemnification

You agree to indemnify, defend, and hold harmless Satoriia LLC and its members, officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: your misuse of the Site or products; your violation of these Terms; your breach of any professional licensing or eligibility representation; your application of products on clients; unauthorized resale or diversion of products; or your infringement of any third-party rights.

Satoriia is not liable for damages arising from circumstances beyond our reasonable control, including internet outages, third-party service failures, carrier or freight delays, acts of God, or government action.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SATORIIA’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR OUR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SATORIIA IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

IN NO EVENT WILL SATORIIA BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits Satoriia’s liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

12. Dispute Resolution and Arbitration
Contact care@satoriia.pro first to resolve concerns informally. We will make good-faith efforts to resolve any dispute within 30 days.

If we cannot resolve a dispute informally, it will be resolved by binding, confidential, individual arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, conducted in Duval County, Florida, or by telephone/video unless otherwise agreed.

Class Action Waiver: All disputes must be brought on an individual basis. You waive the right to participate in any class action, collective action, or representative proceeding, and waive the right to a jury trial except where prohibited by law. You may opt out of this arbitration clause and class action waiver by emailing care@satoriia.pro within 30 days of first creating an account or making a purchase (whichever is earlier), with the subject line “Arbitration Opt-Out.”

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any claims not subject to arbitration will be resolved exclusively in the state or federal courts located in Duval County, Florida.

13. Copyright Concerns (DMCA)
If you believe content on our Site infringes your copyright, contact care@satoriia.pro with: (a) your contact information, (b) identification of the allegedly infringing content and its location on our Site, (c) identification of the original copyrighted work, and (d) a good-faith statement that the use is not authorized. We will act promptly under the Digital Millennium Copyright Act (DMCA).

14. Updates to These Terms
We may update these Terms at any time. Changes are effective upon posting on our Site. For material changes, we will provide notice via email or a prominent Site notice at least 14 days before the change takes effect where required by law. Continued use of the Site after changes become effective constitutes your acceptance of the updated Terms.

15. International Users
This Site is operated from the United States and governed by Florida law. International users and distributors are responsible for ensuring compliance with their local laws, including cosmetic, import, and resale regulations, before purchasing.

EU/UK users’ data is processed in accordance with GDPR as described in our Privacy Policy. By using the Site, EU/UK users consent to the transfer of their data to the United States, subject to appropriate safeguards.
